Terms of Service

3.1. Account Creation

To access certain features of the Service, particularly for Business Users, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2. Account Security

You are responsible for maintaining the confidentiality of your account password and are solely responsible for all activities that occur under your account. You agree to notify SKF MultiSolutions, LLC immediately of any unauthorized use of your account or any other breach of security. SKF MultiSolutions, LLC will not be liable for any loss or damage arising from your failure to comply with this section.

4.1. Business Directory

The Service provides an online business directory where Business Users can list their businesses and Consumers can search for products and services by category or zip code.

4.2. Online Advertising & Promotion

• Business Users can subscribe to various plans to advertise their businesses and announce promotions.
• A unique "flashing light bulb" feature indicates ongoing discount offers from Business Users.
• Flash Promo Plan Specifics: The "Flash Promo" subscription plan requires a minimum commitment of 3 months subscription the Business Directory Plan to be eligible for the Flash Promo plan. This plan is designed for short-period advertising for a maximum of three weeks advertising.

4.3. Discount Matching & Notification

• Consumers can explicitly state their interest in specific products or services and desired discounts in their account profiles or dashboards.
• The Service will automatically detect matching discount offers from Business Users and send email notifications to interested Consumers. This feature is designed to help both businesses and consumers save money.

4.4. Subscription Plans

IndieListDigital.com offers 5 subscription plans for Business Users, which are charged on a monthly recurring basis. Details of these plans, including features and pricing, will be provided on the Service.

5.1. Subscription Fees

Business Users agree to pay all fees associated with their chosen Subscription Plan as described on the Service. All fees are quoted in U.S. Dollars unless otherwise stated.

5.2. Monthly Recurring Payments

Subscription fees are charged on a monthly recurring basis. By selecting a Subscription Plan, you authorize SKF MultiSolutions, LLC (or its third-party payment processor) to charge your designated payment method for the applicable monthly fees.

5.3. Automatic Renewal

Unless cancelled, your Subscription Plan will automatically renew at the end of each monthly billing cycle.

5.4. Cancellation

You may cancel your Subscription Plan at any time through your account settings. Cancellations will take effect at the end of the current billing cycle, and you will not be charged for subsequent cycles. No refunds will be issued for partial months of service.

5.5. Changes to Fees

SKF MultiSolutions, LLC reserves the right to change its fees at any time. Any changes will be communicated to you in advance and will apply to subsequent billing cycles.

Content Standards for Business Users

When submitting ad descriptions and images, Business Users agree that:

• All descriptions of products or services must be accurately and truthfully stated.
• No explicit, inappropriate, or misleading language is permitted.
• Images must be free of explicit content and must meet the specified resolution and size requirements to fit correctly within the display table cells on the platform.

SKF MultiSolutions, LLC reserves the right to review and approve all ad content and images to ensure compliance with these standards and platform guidelines.

SKF MultiSolutions, LLC reserves the right, but not the obligation, to remove any content or suspend or terminate any account that violates these Terms, without prior notice.

7.1. Service Content

All content on the Service (excluding user-generated content), including text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, design idea, is the property of SKF MultiSolutions, LLC or its content suppliers and is protected by United States and international copyright laws.

7.2. Trademarks

IndieListDigital.com, BD&A, and other SKF MultiSolutions, LLC graphics, logos, page headers, button icons, scripts, web design and service names are trademarks, registered trademarks or trade dress of SKF MultiSolutions, LLC in the U.S. and/or other countries.

7.3. User-Generated Content

You retain ownership of any content you upload, post, or display on the Service. However, by posting content, you grant SKF MultiSolutions, LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with the Service and SKF MultiSolutions, LLC's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels.

7.4. Patent Application

SKF MultiSolutions, LLC intends to file for patent protection for the unique features and functionalities of the Service. Any unauthorized reproduction, distribution, or use of these patented features will be subject to legal action.

8.1. Notification of Infringement

If you believe that any material on the Service infringes upon your copyright or other intellectual property rights, please provide SKF MultiSolutions, LLC's designated Copyright Agent with the following information in writing:

• A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
• Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.
• Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit SKF MultiSolutions, LLC to locate the material. (This is crucial: please provide the specific URL or clear description to help us locate the content).
• Information reasonably sufficient to permit SKF MultiSolutions, LLC to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted.
• A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
• A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

8.2. Designated Copyright Agent

13.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

13.2. Informal Resolution

Most disputes can be resolved informally. If you have a dispute with SKF MultiSolutions, LLC, you agree to first contact us at legal@indielistdigital.com and attempt to resolve the dispute with us informally.

13.3. Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof, which cannot be resolved informally, shall be finally settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitration shall take place in Melissa, Texas.

13.4. Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between SKF MultiSolutions, LLC and you individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class-action basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

14.1. Entire Agreement

These Terms constitute the entire agreement between you and SKF MultiSolutions, LLC concerning your use of the Service and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.

14.2. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and SKF MultiSolutions, LLC's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.4. Changes to Terms

SKF MultiSolutions, LLC reserves the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on the Service or by sending an email to the address associated with your account. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.
